  • Resolution of the problem or performance deficiencies of the Software.

  • Internet based support system generally available seven (7) days a week, twenty-four (24) hours a day.


We provide consulting, designing, drafting, testing, prototyping, implementation, maintenance and/or other services. We help establishing comprehensive and explicit details regarding the required deliverables in order to form cleared and mutual understanding of expectations for the following areas:


The software development process:


  • Rapid application development (rapid prototyping); or
  • The waterfall method (conception, initiation, analysis, design, construction, testing, production/implementation and maintenance); or Another approach.
  • Singular or phased stages of development and correlative staging/phasing of the key and related deliverables, according to the software development process.
  • The final deliverable and duration of the agreement and whether further development will be addressed in an additional or future agreement.

  • Formulating a clear development timetable and identifying any critical timing for specific deliverables, including:

  • Whether delivery dates are essential terms and timing is of the essence;
  • The process and consequences to timeframes if missed; and
  • Whether liquidated damages would be appropriate for any delays in the project.
  • Ancillary and related software and IT/infrastructure for the development, and the parties’ respective responsibilities for such.

  • Conversely, inadequate specifications and scoping could cause costs to be incurred by your business for variations and extensions to ensure that the final software is suitable (and achieves the objectives for its development).
  • Determining which party will initially draft the specifications. Providing for adequate review and input by the other party, before these are agreed. Performance and acceptance testing


Further considerations include:

  • Acceptance testing following each key stage.
  • Synchronization of the payment schedule to the development timetable and payment is conditional upon satisfaction of acceptance testing.
  • The process for conducting, managing and documenting acceptance testing (including the issuing of any acceptance testing certificate).
  • Timeframes for your business to perform the acceptance testing.
  • Variations to the scope of services

  • The process for making variations to key terms such as the: deliverables; specifications; timeframes; and costs.
  • Cost variations (and the method for calculating these), to ensure that further works are not costed at a potentially inflated rate, due to increased dependence upon the services of the developer part way through the project (and the cost and inconvenience to your business to change service providers).
  • Non-performance To ensure that the development progresses satisfactorily and according to required timeframes and to prevent interruptions to this process, it may be necessary to consider:
  • Liquidated damages for failure to meet performance requirements (bearing in mind this should constitute a genuine pre-estimate of damages to be enforceable).
  • Terms surrounding disengagement from the developer and transition to an alternative service provider, including:
  • Triggers for the transfer (or whether your business will have the discretion to transfer).
  • Timeframes, resources, processes and responsibilities for the transfer (and whether any fees will be payable to the developer for performance of the transfer obligations) or whether a transfer plan will be developed after the transfer is initiated (and which party will prepare the plan).
  • and Ownership of IP and triggers events for release from escrow (if applicable).
